These rules govern the PlanMan referral scheme operated by BPS Designs Limited, registered in England and Wales under company number 05360014, at 2A Swordfish Business Park, Swordfish Close, Higgins Lane, Burscough, Lancashire, L40 8JW, United Kingdom. Our VAT number is GB 850695993. Contact help@planman.app.

1. Joining the scheme

The scheme is for business customers with a PlanMan account. An Affiliate is the account-holding business using its authorised referral link. A Referral is a separate business attributed to that Affiliate under these rules that starts a paid PlanMan subscription. Using the scheme confirms acceptance of these rules alongside the Business Subscription Terms.

2. Referral discounts

Each eligible active paid Referral earns a discount equal to 10% of the Affiliate’s own standard PlanMan subscription charge, up to ten Referrals and a maximum 100% discount. This is an invoice discount, not a cash commission. It cannot produce a negative invoice, be transferred or be exchanged for cash. Separately agreed add-ons or bespoke services are excluded unless expressly included in your order.

A Referral is eligible when its subscription is active, its due subscription payment has been received, and neither it nor the Affiliate is in material breach of the scheme. Trials and overdue, ended or fraudulent subscriptions do not qualify. Giving cancellation notice alone does not remove eligibility: an active paid Referral continues to qualify until its paid subscription ends. We do not operate multi-level rewards.

We assess eligible Referrals when preparing the Affiliate’s next subscription invoice. The resulting discount applies to that invoice. A monthly Affiliate receives a discount on its monthly charge; an annual Affiliate receives it on the annual charge when next invoiced. The discounted amount is calculated before VAT, with applicable VAT then shown on the invoice. Published standard prices include VAT.

Ordinary changes in Referral status affect subsequent invoices and do not retrospectively change a completed prepaid period. There is no cash refund or mid-period credit merely because a new Referral becomes eligible after an invoice. If the Affiliate owes no subscription charge, the unused discount does not accumulate as a cash balance.

3. Attribution and tracking choices

Use the referral link assigned to your account. Where referral cookies are used, the attribution period is 60 days and the first valid Affiliate attribution remains in place for that period. Such tracking may be used only with the information and consent required by applicable law; a link click alone is not blanket cookie consent.

Rejected or deleted cookies, another device/browser and disabled scripts can prevent automatic attribution. We do not require someone to accept optional tracking to buy PlanMan. If attribution fails, contact us with relevant evidence; we assess whether a genuine Referral can reasonably be verified. No reward is guaranteed where attribution cannot be established.

Self-referrals, duplicate accounts for the same business, fabricated customers and arrangements designed to obtain more than one reward for the same business are not eligible. Attribution disputes should be raised promptly so we can check available evidence while respecting other people’s privacy.

4. Advertising and conduct

Affiliate advertising must be clearly identifiable before people engage with it. Use a prominent label such as “Ad” where appropriate and explain your referral benefit where needed. Claims must be accurate, supported and consistent with current approved PlanMan information. You must comply with applicable advertising, privacy and electronic marketing rules and promptly correct or remove non-compliant material when asked.

You must not:

• Send spam or unlawful unsolicited marketing, place unauthorised promotional links in communities, or misrepresent prices, features, discounts or your relationship with us.
• Use unapproved brand materials, impersonate us, register misleading brand-related domains, or bid on our brand names or confusing variations in paid advertising.
• Place links on coupon sites, use paid-to-click/read traffic, click or banner exchanges, pop-ups or other prohibited incentive traffic.
• Offer cashback or other purchase incentives without our prior written agreement.
• Use cookie stuffing, iframes, hidden redirects or other methods to set attribution without an actual informed referral action and any required consent.
• Conceal a promotional source, falsely claim independent editorial status or otherwise mislead prospective customers.

We may require reasonable evidence of advertising compliance and identify corrections needed. You are responsible for your own promotion; these rules do not remove any responsibility that applicable law places on us.

5. Good standing, investigation and fraud

Good standing means that your account is active, undisputed charges are paid and you materially comply with these rules. We assess this on reasonable, objective grounds. We can withhold disputed rewards while investigating suspected fraud or material misuse, giving the reason where legally permitted and an opportunity to provide information.

For a remediable breach we normally give written notice and 14 days to correct it. Serious fraud, unlawful advertising or an urgent security issue may require immediate suspension of scheme benefits. We explain a decision and offer a review through help@planman.app. Loss of referral benefits does not itself terminate the main subscription; any action on that service follows its own terms.

If an underlying payment is reversed for fraud or a Referral was ineligible when credited, we may recalculate the affected discount and offset an incorrectly credited amount against future referral discounts, with an explanation. This does not create a general obligation to repay discounts in cash or allow arbitrary removal of valid accrued benefits.

6. Withdrawal and changes

We may withdraw the scheme for new Referrals on 30 days’ written notice. Qualifying active Referrals already introduced before that withdrawal continue to attract the discounts promised under these rules while they remain eligible. Withdrawal alone does not remove those existing benefits.

We give at least 30 days’ written notice of a material change to these rules, with its effective date. Changes do not retrospectively remove valid accrued discounts or the existing-Referral protection above. Urgent legal or fraud-prevention changes may require earlier action, with an explanation and preservation of lawful accrued rights. A website material update alone does not retrospectively vary an accepted agreement.

7. Confidentiality and brand rights

Approved use of our promotional materials does not transfer intellectual property rights. Use them only for the scheme and stop when permission ends. Each party protects the other’s confidential information with reasonable care and uses it only for the scheme. Confidentiality excludes information lawfully public, previously lawfully known, independently developed or lawfully received without restriction. Disclosure required by law or to advisers bound by confidentiality is permitted. Confidentiality continues while the information remains confidential.

8. Liability

Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. Subject to those exceptions, the lawful exclusions and aggregate liability cap in section 12 of the Business Subscription Terms apply to this scheme as part of the same agreement, rather than as an additional independent cap. We do not disclaim our own responsibilities through a blanket exclusion for every loss or service interruption.

9. Notices and law

Send notices or scheme complaints to help@planman.app. We use the nominated email on your account. Notices take effect when received, with messages outside normal UK business hours treated as received on the next working day. Working days exclude weekends and public holidays in England and Wales.

These rules are governed by the law of England and Wales and the parties submit to the non-exclusive jurisdiction of its courts, subject to mandatory law. The main subscription terms govern other account matters. These rules take precedence for referral discount calculations and preserved scheme benefits.
